1.1. Not Financial Advice
Carbonaa SA (operating as "SatClimate", "we", "us" ) is a satellite data intelligence provider incorporated in Geneva, Switzerland. SatClimate is not a regulated financial institution or licensed investment service provider in any jurisdiction. SatClimate does not establish any fiduciary, advisory, or professional services relationship with customers.
1.2. No Investment Recommendations
All outputs — including scenario foresights, environmental signals, carbon market indices, emissions scanning data, activity indices, and foresight reports — are provided solely as data-driven analytical outputs for informational purposes. They do not constitute:
1.2a. No Reliance
Clients acknowledge that SatClimate outputs are one of multiple inputs and agree not to rely solely on SatClimate data for investment or trading decisions.
1.3. Client Responsibility
All use of the platform and its outputs is at the customer's own risk. Clients who use SatClimate outputs to inform trading, investment, or financial decisions do so entirely at their own risk and discretion. SatClimate shall not be responsible for financial outcomes to the extent permitted by applicable law. Clients are solely responsible for compliance with applicable securities laws, commodity regulations, and financial licensing requirements in their jurisdiction. Clients are responsible for independently validating and assessing the suitability of SatClimate outputs for their specific use cases.
1.4. Independent Advice
Clients should consider obtaining independent advice from qualified financial, legal, and compliance professionals before making decisions based on SatClimate outputs.
2.1. Accuracy Validation Framework
SatClimate maintains a public accuracy validation framework where historical signal performance is tracked and audited. Validated accuracy metrics are published here: ValidatedAccuracyMetrics workspace. This workspace displays:
Important: Directional accuracy reflects historical performance only and does not guarantee future results. Plan accuracy may not yet be validated (insufficient sample size or unresolved outcomes). All figures are subject to survivorship bias and model drift.
2.1a. Methodology Evolution
Analytical methodologies, models, and output definitions may evolve over time, which may impact historical comparability. SatClimate may modify, update, or discontinue features, data coverage, or methodologies at its discretion. Clients are advised to review methodology documentation periodically.
2.2. Sources of Uncertainty
The following factors may impact the accuracy of outputs, and clients should be aware of these limitations when interpreting SatClimate outputs:
2.3. No Warranty of Accuracy
SatClimate provides all outputs "AS IS" and "AS AVAILABLE". No warranty, express or implied, is made regarding the accuracy, completeness, timeliness, or fitness for a particular purpose of any outputs. The stated accuracy figures are historical averages derived from backtesting and are not guarantees of future performance.
2.4. Satellite Data Sources
SatClimate relies on third-party satellite data sources and produces proprietary analytical outputs derived from these datasets. Outputs reflect the application of SatClimate' s analytical models to source data and should be interpreted accordingly. Data delivery may be subject to latency, delays, or timing discrepancies. SatClimate services are not designed for real-time critical decision-making systems.
3.1. License Scope — Strictly Non-Transferable
All API keys, data subscriptions, and platform licenses granted by SatClimate are non-exclusive, non-transferable, non-sublicensable, and strictly limited to the licensed entity named in the subscription agreement. License rights may not be assigned without SatClimate's prior written consent.
3.2. Prohibited Uses
The following uses constitute a material breach and may result in suspension or termination of access:
3.3. Permitted Internal Use
Clients may use SatClimate data for: internal research and analysis, informing proprietary investment processes, regulatory reporting (where the data source is disclosed), inclusion in internal reports to customers (with clear attribution to SatClimate as the data source), and academic research with proper citation.
3.4. Attribution Requirements
Attribution is required only for public or external use. Any public report, external publication, or external communication that references SatClimate intelligence must include the following attribution: "Data sourced from SatClimate Intelligence Platform (sat.carbonaa.net) — satellite-derived environmental intelligence." Attribution does not grant any additional redistribution rights. No attribution is required for internal use.
3.5. Rate Limits & Fair Use
API usage is subject to plan-specific rate limits. Exceeding rate limits without prior written authorisation may result in temporary suspension. SatClimate reserves the right to throttle, rate-limit, or suspend API access for any account that displays usage patterns inconsistent with legitimate single-entity use.
3.6. Breach Consequences
In the event of a confirmed material breach, SatClimate reserves the right to: (a) suspend or terminate access; (b) seek injunctive relief; (c) seek damages in accordance with applicable law. SatClimate reserves the right to suspend or restrict access where necessary to protect platform integrity, security, or legal compliance.
4.1. Maximum Aggregate Liability
To the maximum extent permitted by applicable law, SatClimate's total aggregate liability to any client, arising from or related to these Terms, the platform, or any data plan, regardless of the form of action (contract, tort, strict liability, or otherwise), shall be limited to:
The total fees actually paid by the client to SatClimate in the 12 months immediately preceding the event giving rise to the claim.
This limitation does not apply in cases of gross negligence or wilful misconduct.
4.2. Consequential Damages Waiver
To the maximum extent permitted by applicable law, SatClimate shall not be liable for any of the following, even if advised of the possibility of such damages, except where required by applicable law:
4.3. Third-Party Data & Infrastructure Dependencies
SatClimate relies on third-party satellite data sources and infrastructure to produce proprietary analytical outputs. SatClimate does not guarantee the accuracy of underlying third-party source data, but applies rigorous analytical processes in deriving outputs from those sources. The following factors may impact the timeliness, completeness, or accuracy of outputs, and SatClimate' s liability in respect of such factors is excluded to the extent permitted by applicable law:
Continuous or uninterrupted access to the platform is not guaranteed. Third-party infrastructure and data dependencies may introduce variability into outputs. Data delivery may be subject to latency, delays, or timing discrepancies, and the platform is not designed for real-time critical decision-making systems.
4.4. One-Time & Per-Facility Plans
One-time products (e.g., Industrial Scanning Baseline Assessment, EU Methane Compliance Report Pilot) are delivered on a best-efforts basis within the stated indicative turnaround period. Turnaround times are subject to satellite data availability, coverage quality, and operational capacity. SatClimate's liability for delays in one-time plan delivery is limited to a refund of the fee paid for that specific plan, to the extent permitted by applicable law. No refund is applicable once the report or output has been delivered.
4.5. Client Indemnification
The client agrees to indemnify, defend, and hold harmless Carbonaa SA (operating as SatClimate), its directors, officers, employees, and affiliates from and against any claims, damages, costs, and expenses (including reasonable legal fees) arising from use of the platform, misuse, or breach of these Terms.
4.6. Disclaimer of Warranties
SatClimate expressly disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. SatClimate does not warrant that: (a) the platform will be uninterrupted or error-free; (b) any data will be accurate, complete, or current; (c) the platform is free from viruses or harmful components.
5.1. Carbon Market Intelligence
Carbon credit price signals, ETS market indices, and carbon trading intelligence provided by SatClimate reflect satellite-observed physical indicators (e.g., industrial activity, methane emissions, energy generation mix). These signals are lagging or coincident indicators and do not foresight carbon credit prices with certainty. All outputs are probabilistic and should be interpreted accordingly. Market outcomes are influenced by factors beyond the scope of satellite observation, including regulatory decisions, political factors, and market microstructure.
5.2. Energy Market Signals
Energy generation activity indices, industrial thermal signals, and supply disruption foresight data may be used by energy traders to inform positions in power, gas, or oil markets. Such use is at the trader' s sole discretion and risk. Market outcomes are influenced by factors beyond the scope of satellite observation, and SatClimate data-driven analytical outputs should be considered as one of multiple inputs in any decision-making process.
5.3. ESG & Regulatory Reporting
SatClimate outputs may be used to support ESG due diligence and regulatory reporting. Clients are solely responsible for ensuring their reporting meets applicable regulatory standards (EU CSRD, SFDR, SEC climate rules, etc.). SatClimate does not provide certified, audited, or regulatory-approved outputs and must not be represented as such. Independent third-party verification is required before any SatClimate output is characterised as certified or audited data in regulatory submissions.
5.4. Scenario Foresight — Probabilistic Outputs
All scenario foresight outputs are expressed as probabilistic estimates, not certainties, and must be interpreted accordingly. A stated probability of 78% reflects the model's estimated likelihood based on available satellite signals at the time of generation — it does not indicate that the event will occur. The corresponding non-occurrence probability must always be factored into any decision-making process. SatClimate' s foresight outputs are designed to reduce uncertainty, not eliminate it, and should be used as one analytical input among others.
5.5. EU Methane Compliance Plans
The EU Methane Compliance Report (Pilot) and EU Methane Compliance subscription products provide satellite-derived methane measurement aligned with OGMP 2.0 Level 4/5 methodology. These outputs are designed to support regulatory reporting under the EU Methane Regulation but do not constitute a certified audit or regulatory submission in themselves. Clients are solely responsible for determining whether these outputs meet their applicable regulatory obligations and for any submissions made to regulators. Turnaround times (e.g., 10-day report delivery) are indicative and subject to data availability and satellite coverage.
5.6. Solar EAC Verifier API
The Solar EAC Verifier API provides satellite-based verification of solar energy production for Energy Attribute Certificate (EAC) processes. Outputs are intended to support — not replace — official certification processes. Clients are responsible for ensuring compliance with applicable EAC issuance standards and registry requirements in their jurisdiction. SatClimate does not issue EACs and makes no representation as to the acceptance of its outputs by any certificate registry or regulator.
5.7. Seagrass MRV API
The Seagrass MRV API provides satellite-based scanning, reporting, and verification support for blue carbon seagrass offset projects. Outputs are designed to support project developers in MRV processes but are not a substitute for third-party verification required under applicable carbon standards (e.g., Verra VCS, Gold Standard). Clients are responsible for obtaining independent third-party verification before crediting any seagrass carbon project.
5.8. Backtesting Tools — Historical Performance Disclaimer
The Scenario × Commodity Backtester and Carbon Market Strategy Backtester are analytical tools that display historical backtesting results only. Past performance of any strategy or signal against historical data does not guarantee or indicate future results. Backtesting results are subject to survivorship bias, look-ahead bias, and other statistical limitations inherent in historical backtest. These tools are provided for research and informational purposes only and must not be treated as investment recommendations or as evidence of future profitability.
5.9. Emerging Markets Bundle & Segment Datasets
The Emerging Markets Bundle and segment signal datasets (including Carbon Trader, Energy Trader, Hedge Fund, ESG Investor, Regulatory, and Energy Utility signal products) are delivered as analytical data outputs. All outputs are subject to the accuracy limitations described in Section 2. Delivery frequencies and historical archive periods specified at subscription are indicative and may vary due to satellite coverage, data pipeline availability, or force majeure events.
5.10. Free Sandbox & Trial Access
Free sandbox access and trial subscriptions are provided on a best-efforts basis with no SLA guarantee. Sandbox environments use demonstration or simulated data that may not reflect live platform outputs. SatClimate reserves the right to terminate sandbox or trial access at any time without notice. No refunds are applicable to expired or unused trial periods.
5B.1. One-Time Subscription Payment
SatClimate subscriptions are sold as one-time payments, not recurring monthly or annual subscriptions. When a client purchases a subscription tier (Explorer, Professional, or Premium), the client pays a single upfront fee that grants access to the platform and includes an initial pool of platform credits. There are no recurring charges, no auto-renewal, and no monthly billing cycles.
5B.2. Platform Credits — The Consumption Currency
Each subscription tier includes a pool of platform credits. Credits are the unit of consumption for all platform operations. Each operation debits credits from the client's balance:
Operation costs are published on the platform and may be updated with 30 days' notice. Clients can monitor their credit balance in real time via the subscriber dashboard.
5B.3. Credit Validity — 1 Year (365 Days)
All credits — whether included in the initial subscription or purchased as top-up packs — are valid for one (1) year (365 days) from the date of subscription purchase or top-up purchase. Upon purchase of a subscription, the client has access to the platform and their credit pool for exactly 1 year from the subscription date. Credits do not roll over beyond the 1-year validity period. Any unused credits remaining after the 1-year period expires are forfeited.
5B.4. Credit Top-Up Packs
If a client exhausts their included credits before the 1-year validity period expires, the client may purchase credit top-up packs at any time via the Credit Top-Up page. Top-up packs are one-time purchases with no recurring charges. Top-up credits are valid for 1 year from the date of top-up purchase. Multiple top-up packs may be purchased; the most recently purchased credits are debited last (FIFO depletion).
5B.5. Annual Credit Renewal
After the 1-year validity period expires, the client must purchase a new credit pack (either a full subscription tier or a top-up pack) to continue accessing the platform. Access is suspended automatically when the credit validity period expires and the client has no active credit balance. There is no automatic renewal — the client must actively purchase new credits to continue service. SatClimate may notify clients via email before their credit validity expires, but the client is solely responsible for tracking and renewing their credit validity.
5B.6. No Refunds on Unused Credits
Credit purchases (subscriptions and top-up packs) are non-refundable, except where required by applicable law. Unused credits that expire at the end of the 1-year validity period are not refundable, not transferable, and cannot be converted to cash. Clients are advised to purchase credit packs sized to their expected usage within the validity period.
5B.7. Credit Debit Enforcement
The platform enforces credit balances in real time. When a client initiates an operation, the platform checks the credit balance and debits the required credits atomically. If the client has insufficient credits for the requested operation, the platform rejects the operation and prompts the client to purchase a top-up pack. No operations are executed on credit — all operations require a pre-paid credit balance.
5B.8. Pricing Changes
SatClimate reserves the right to adjust credit pack pricing and operation costs with at least 30 days' advance notice. Price changes apply only to future purchases — credits already purchased are not affected. Continued use of the platform after the notice period constitutes acceptance of the updated pricing.
6.1. Governing Law
These Terms and all disputes arising out of or in connection with the SatClimate platform, its data products, or the relationship between SatClimate and its customers shall be governed exclusively by Swiss law, without regard to conflict of laws principles.
6.2. Arbitration — Primary Dispute Resolution
Arbitration is the primary dispute resolution mechanism. Any dispute, controversy, or claim arising out of or in connection with these Terms (including disputes about their validity, breach, or termination) shall be resolved by binding arbitration under the Swiss Rules of International Arbitration of the Swiss Arbitration Centre. The arbitration shall be conducted in English in Geneva, Switzerland. The arbitral award shall be final and binding.
6.3. Court Jurisdiction — Enforcement Only
Courts of Geneva apply only for enforcement of arbitral awards. The parties do not submit to court jurisdiction for substantive dispute resolution. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
6.4. Limitation Period
Any claim against SatClimate must be brought within 12 months of the date the claimant knew or ought to have known of the facts giving rise to the claim. Claims brought after this period are permanently barred.
6.5. Severability
If any provision of these Terms is held invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
7.1. Entire Agreement
These Terms, together with any applicable subscription confirmation, quotation, or CBAM Compliance Engine Agreement, constitute the entire agreement between SatClimate and the customer and supersede all prior negotiations, representations, or agreements. This version (v3.0) supersedes all prior versions including v2.2 (30 March 2026) and covers the SatClimate Intelligence Platform and the CBAM.SIM EU compliance platform, both operated by Carbonaa SA.
7.2. Amendment
SatClimate reserves the right to update these Terms at any time. Material changes will be notified to active customers with a minimum of 30 days' notice. SatClimate may also modify, update, or discontinue platform features, data coverage, or methodologies at its discretion; where material, reasonable notice will be provided. The current version (v3.0) is effective 1 May 2026 and includes: (i) full legal review and institutional-grade hardening; (ii) entity name clarification (Carbonaa SA operating as SatClimate); (iii) removal of references to unissued documents (Order Forms, SLAs); (iv) standardised contact details. Continued use of the platform following the effective date constitutes acceptance of the revised Terms.
7.3. Waiver
No failure or delay by SatClimate in exercising any right shall constitute a waiver of that right. A waiver of any breach shall not constitute a waiver of any subsequent breach.

Our satellite-derived analytical outputs are disclosed with their accuracy limitations, our liability is capped, and our platform does not provide financial advice.
